TERMS AND CONDITIONS

1. Introduction

**1.1** These Terms and Conditions constitute a legally binding agreement ("Agreement") entered into between you (the "User") and Conexio Travel SRL, a limited liability company incorporated and registered in Costa Rica with corporate ID number 3-102-920133 and registered office at San José, Escazú, San Rafael, Centro Corporativo San Rafael, 3rd floor ("Conexio Travel", "we", "our" or "us"), regarding your purchase of an international data plan ("Data Plan") associated with a prepaid eSIM (an "eSIM") from Conexio Travel (the "Service") for use on your personal device ("Device").

**1.2** Future agreements between the User and Conexio Travel may also be subject to supplementary terms and conditions or documents that have been published on our website or application (the "Application").

**1.3** You are advised to print a copy of these Terms and Conditions for future reference.

2. Registration

**2.1** To purchase an eSIM in our application, the user must register and accept the terms of use. Conexio Travel's privacy and cookies policy will be displayed during registration.

3. Purchase of an eSIM and Activation

**3.1** By purchasing an eSIM in the Application, you accept a purchase contract and agree to pay the corresponding charges according to the selected Data Plan.

**3.2** Once you receive the eSIM, you will be responsible for it. If you lose or damage your Device before paying for the eSIM, you must pay the full amount.

**3.3** You may purchase an eSIM through a Conexio Travel partner. If you do so, your purchase will be a direct agreement with that third party and Conexio Travel will not be involved.

**3.4** Conexio Travel will offer data plans for specific countries and may limit their availability in some regions. Users can search for, choose and purchase these plans from the Application or through third parties.

**3.5** The User must have an unlocked device compatible with eSIM in order to use the Service.

4. Term and Cancellation

**4.1** The Agreement begins upon purchase of the eSIM. When you download it and activate the Data Plan, the eSIM will remain installed on your Device even if the balance is used up or the plan expires. You can delete it at any time from the settings, although it is recommended to do so only at the end of the Data Plan. Both download and activation require a stable internet connection.

**4.2** This Agreement will remain in force until the expiration or depletion of the credit of the purchased Data Plan.

**4.3** This Agreement will be terminated immediately if any of the following circumstances occurs:

**4.3.1** Consumption or expiration of the Data Plan in accordance with clause 4.2.

**4.3.2** Suspension of the eSIM or the Data Plan by Conexio Travel due to breach of these Terms and Conditions, including any violation of applicable law.

**4.4** When the contract ends in accordance with clause 4.3.1, if you do not delete the eSIM from your Device after using or ending the Data Plan, the eSIM will remain available "as is" and without warranty. Conexio Travel will not be responsible for this eSIM until you purchase another eSIM or Data Plan, at which time these Terms and Conditions will apply.

5. Warranty

**5.1** These Terms and Conditions are in addition to the consumer's legal rights.

**5.2** Conexio Travel makes no guarantees or representations regarding the eSIM or the Service; all warranties and conditions are excluded except as required by law.

**5.3** Conexio Travel may stop selling, supplying or supporting any eSIM at any time at its discretion.

6. Service Availability

**6.1** Conexio Travel will make commercially reasonable efforts to keep the Service available at all times, according to both the company's and its providers' capabilities to ensure the network and connection.

**6.2** To provide the Service, Conexio Travel works with different providers, including network service providers, which may vary depending on geographical location.

**6.3** If you choose an "unlimited" Data Plan, you should be aware that both coverage and speed may be subject to the network provider's fair use policies. This means that, to ensure good service quality for all users, the provider may apply restrictions or limits on data usage if it is considered excessive or harmful to the overall performance of the network.

**6.4** Conexio Travel does not guarantee either the capacity, or the quality or the constant availability of the Service network. This limitation applies, among other cases, when:

**6.4.1** Our providers must carry out improvement, maintenance or other technical work on their networks.

**6.4.2** You are outside the coverage area of our providers or outside the areas specified by your Data Plan.

**6.4.3** There are factors beyond our control that cause interruptions, such as problems related to the characteristics or functioning of your Device, legal regulations, failures in communication networks, weather conditions, radio interference or physical obstacles.

7. User Obligations

The User undertakes to:

**7.1** The User must use the eSIM in accordance with these terms and with local law, and not for illegal or fraudulent activities or activities that damage the network, nor to copy, modify or distribute Conexio Travel's commercial information without permission. The User must also not download or upload excessive content or infringe third-party rights.

**7.2** Promotions must not be used to manipulate the service, create fake accounts or use fictitious identities to obtain rewards.

**7.3** If the terms are breached, Conexio Travel may suspend the service and claim payments and compensation for damages, including legal costs.

**7.4** Conexio Travel may delete the user's account or prevent access to the service and to future promotions, without any liability.

8. Payment Conditions

**8.1** The user can register and purchase an eSIM in the application, with payment managed by an authorized Conexio Travel agent.

**8.2** eSIMs are prepaid and prices include indirect taxes, unless otherwise stated. Tax is calculated based on the postal code entered at payment.

**8.3** "Indirect taxes" include VAT, sales tax and similar charges applicable to the purchase of the data plan.

**8.4** The user can save a payment method for future purchases and delete it at any time. To change it, the user must delete the previous method and add a new one; modifications are not allowed.

9. Statutory Right of Withdrawal

**9.1** As a consumer, you may cancel this Agreement within 14 days from the purchase of the eSIM, unless the Data Plan is activated and used before that, in which case you will not receive a refund.

**9.2** To exercise your right of withdrawal, notify Conexio Travel Limited, Customer Service (see section 18) clearly.

10. Return and Refund Policy

**10.1** The Service will be provided in accordance with these Terms and Conditions. If the Service received does not match what is stipulated or infringes your consumer rights, you must report it immediately. If applicable, a full or partial refund will be issued for the affected eSIM or Data Plan, in accordance with clauses 10.2 to 10.8 below.

**10.2** To request a full refund from Conexio Travel, the User must meet the following requirements:

**10.2.1** The eSIM must have been purchased directly through the Conexio Travel Application (not via third parties).

**10.2.2** The eSIM must not have been activated.

**10.2.3** The eSIM purchase must have been made within the 6 months prior to the refund request.

**10.3** In accordance with clauses 10.2.1 and 10.2.3, Conexio Travel may grant a full or partial refund proportional to the remaining value of the eSIM or Data Plan in the following cases:

**10.3.1** If the Data Plan linked to the eSIM has already been activated, partially used, or the balance is depleted.

**10.3.2** If the eSIM has faults due to difficulties with the network infrastructure, or if the network in the destination country is unstable or has technical problems.

**10.4** If the User downloads an eSIM to an incompatible or locked device, Conexio Travel will grant a full refund as long as the requirements set out in 10.2.1 to 10.2.3 are met.

11. Intellectual Property Rights

**11.1** Unless otherwise indicated, ownership of the eSIM belongs to us or to our licensor. Everything related to the Application, including source code, databases, functionalities, software, designs, audio, video, texts, photographs and graphics (collectively referred to as the "Content"), as well as trademarks, service marks and logos ("Marks"), is owned, controlled or licensed by us and is legally protected by copyright, trademark and other intellectual property laws.

**11.2** Except where these Terms and Conditions state otherwise, you are not permitted to copy, reproduce, add, republish, upload, share, publicly display, encode, translate, transmit, distribute, sell, license or otherwise commercially exploit the eSIM, the Application, the Content or the Marks without our prior express written authorization.

12. Data Protection

**12.1** By purchasing an eSIM, you authorize Conexio Travel to use your Personal Data to provide, improve and protect the Service.

13. Indemnification

**13.1** The User agrees to indemnify and hold harmless Conexio Travel, its affiliates, employees and providers from any loss, expense or claim arising from:

**13.1.1** Breach of these Terms.

**13.1.2** Any use of the Service that does not comply with these Terms.

14. Limitation of Liability

**14.1** To the extent permitted under applicable law, all contractual, non-contractual or other liability is excluded with respect to any loss or damage arising from the use of the Service, including the eSIM or any Data Plan. Notwithstanding the foregoing, Conexio Travel's liability under this Agreement, whether arising in contract, negligence or otherwise, shall in no event exceed the amount of charges paid by the user to Conexio Travel under the applicable Data Plan during the 12 months prior to the event giving rise to such liability, or 100 euros, whichever is higher. This provision does not affect liability for fraudulent misrepresentation, inaccuracy on fundamental matters, or any other liability that cannot be limited or excluded under applicable law.

15. Governing Law and Legal Compliance

**15.1** Unless mandatory law provides otherwise: (a) these Terms and Conditions, as well as any dispute or claim related to them—whether contractual or not—their subject matter or their formation, shall be governed by Costa Rican law; and (b) the courts of Costa Rica shall have exclusive jurisdiction to resolve any dispute or claim arising out of these Terms and Conditions, their subject matter or formation.

**15.2** Other mandatory laws of different states may also apply to the user's use of the eSIM.

**15.3** The Service and the Application are not intended for use in jurisdictions or countries where such use would contravene applicable regulations. Therefore, those who decide to access the Service and/or the Application from places where it is prohibited do so at their own risk and shall be solely responsible for complying with the relevant local laws.

16. Changes to These Terms and Conditions

**16.1** We may change any part of your Agreement or add new terms or conditions, including those related to our Data Plans, as follows:

**16.1.1** All updates to the Terms and Conditions or new terms will be available in our Application.

**16.1.2** You will be notified if any change is made to this Agreement by means of a relevant notice. After receiving it, you may stop using the Service, except in these cases: (a) if the change is only for your benefit; (b) if the change is merely administrative; or (c) if the change is required by law.

**16.1.3** If you continue using the Service after the change comes into effect, you will be deemed to have accepted that change.

17. General

**17.1** Conexio Travel may assign, transfer or subrogate to any company in its group the rights and obligations arising from this Agreement without the need to obtain the User's express consent.

**17.2** If any provision of this Agreement, or part of it, is found to be illegal, void or unenforceable, but could be valid and enforceable by deleting or modifying some of its terms, that provision shall be interpreted and applied with the necessary modifications so that it remains legally valid and effective.

**17.3** The failure, delay or omission by either party in exercising any right or remedy provided in this Agreement shall not constitute a waiver of such right or remedy, nor shall its partial exercise prevent subsequent actions. Likewise, no waiver of any breach of the provisions of the Agreement shall be considered a waiver of previous or subsequent breaches. The rights and remedies set out are cumulative and in addition to those provided by applicable law.

**17.4** This Agreement has been drafted in Spanish. In the event of any discrepancy between the original Spanish version and any translation, the Spanish version shall prevail.
